Asahi Denka acknowledges corporate governance as the most important task in management. We believe corporate governance that includes a collegiate decision-making system and an auditing system is the most efficient management style. Asahi Denka seeks to continually reform its management in order to realize a governance system best suited to our company.
In order to speed up decision-making and clarify where authority and responsibility resides, the “Chief Officer System” was introduced in June 2000. We further reinforced the system by optimizing the number of directors and shortening the term of directors in 2003. This resulted in improved management efficiency. In order to assure transparency of management and strengthen supervisory functions, three out of four auditors must be external. We are currently considering the selection of an external director.
